As You Sow's ExxonMobil Resolution Has Passed!

Exxonmobil are being sued for misleading consumers about their effect on climate change in a manner “reminiscent of the tobacco industry’s long denial campaign about the dangerous effects of cigarettes.”

In October 2021, top executives from ExxonMobil and other oil companies [denied spreading](https://apnews.com/article/climate-science-business-environment-and-nature-campaigns-cf3524fd23854d2c2df2d3294dd58134) climate change misinformation over charges that the industry withheld data about the dangers of global warming. 
The company’s CEO, Darren Woods, claimed that the company "is and has always been truthful" and "long acknowledged the reality and risks of climate change" and "devoted significant resources to addressing those risks."

But how accurate is this claim? The [lawsuit](https://apnews.com/article/climate-environment-darren-woods-lawsuits-9650332ea94d2ee22eb415e80b142134), filed in 2019 by Massachusetts Attorney General Maura Healey, argues that it’s not very accurate. It accuses the mega-corporation of using "sophisticated, multi-million dollar" and "greenwashing” campaigns to create an environmentally conscious and responsible image as well as to downplay the facts and risks related to climate change.

ExxonMobil’s attempts to dismiss the trial were overruled, this was seen as a first stepping stone to the state's effort to end the misrepresentation and false claims made in Exxon's campaigns which have helped to sow confusion about the state of climate science. [Healey commented](https://apnews.com/article/climate-environment-darren-woods-lawsuits-9650332ea94d2ee22eb415e80b142134), "We look forward to proceeding with our case and having our day in court to show how Exxon is breaking the law and to put an end to the deception once and for all." 

This is not just a victory for Massachusetts and the several cities and counties that have joined the lawsuit to hold Exxon accountable, but it's also a victory for the rule of law and for future generations

## Similarities with the tobacco industry 

"[Greenwashing](http://www.tobaccopreventioncessation.com/-Greenwashing-tobacco-products-through-ecological-and-nsocial-equity-labelling-A,99674,0,2.html)" is when a company promotes itself or its products as environmentally friendly without actually reducing its environmental impact, therefore giving consumers a false impression of being ‘green’. This is a popular strategy for deflecting public attention away from pressing social and environmental crises. Evidence of Big Oil’s attempts to greenwash is in abundance, but did you know the tobacco industry has a long history of greenwashing too? 

Some examples of the way the tobacco industry has misled consumers through greenwashing include[ investing in global corporate responsibility efforts](https://tobaccotactics.org/wiki/csr-strategy/), [presenting](https://www.vanguardngr.com/2021/09/bat-unveils-sustainable-investment-in-environment/) their products as sustainable, and [organizing beach clean-ups](https://web.archive.org/web/20200319173306/https:/www.pmi.com/sustainability/sustainability-report). This propaganda is presented in an effort to promote the industry as a responsible corporate citizen while deflecting attention away from tobacco-related disease, deaths, and social costs as the same production methods and supply chain are retained. 

These tactics have drawn [criticism from environmental activists](https://www.who.int/news-room/events/detail/2022/05/12/default-calendar/talking-trash--behind-the-tobacco-industry-s--green--public-relations), who argue that the industry is not contributing to social and environmental causes, but rather simply using them as a PR tool. All in all, the funds spent on these efforts are insignificant when compared to the benefits gained from hazardous manufacturing techniques such as deforestation or even child labour. So far, these tactics have proved successful for the industry, leading to record profits in the past decade. 

ExxonMobil is now using a similar approach. ExxonMobil has been actively campaigning and publicising its new alternative fossil fuels, which the company believes to be more environmentally friendly and sustainable. In fact, ExxonMobil believes so strongly in its new "green" fuels that it has named them as the centrepiece of its public relations campaign. Meanwhile, ExxonMobil continues to focus the [majority of its actual operations](https://www.clientearth.org/projects/the-greenwashing-files/exxonmobil/) around fossil fuels.

Given that environmental activism is growing worldwide, as well as the demand for more efficient and renewable energy products, how can ExxonMobil continue to prove that its business is not greenwashing? 

[At this year's AGM, shareholders called on ExxonMobil](https://tulipshare.com/campaigns/XOM?utm_source=organic&utm_medium=blog&utm_campaign=ExxonMobileTobacco) to disclose the climate risks associated with its fossil fuel expansion. The proposal, filed by [As You Sow](http://asyousow.org) and currently available to back as a campaign through Tulipshare, sought to hold ExxonMobil responsible for continuing to develop new fossil fuel resources as well as providing accurate climate impact disclosures. The [proposal passed](https://tulipshare.com/blog/exxonmobil-resolution-passed) with a 51% majority backing from other shareholders. Beverage brands’ pledges to increase recycled plastic content will not save our oceans. Here’s why.

Oceana, a non-profit ocean conservation organisation, has [commissioned](https://oceana.org/wp-content/uploads/sites/18/Eunomia-x-Oceana-Fact-Sheet.pdf) Eunomia Research and Consulting to conduct a study on the recycled plastic content pledges made by the world’s largest beverage brands. The main findings were that these pledges will not be enough to make a significant change, with an estimated 93% of plastic bottles still making their way into our oceans and other aquatic environments even if recycled plastic content pledges are met. 

## What pledges have been made?

Brands such as Coca-Cola, PepsiCo, Keurig, Dr. Pepper, Nestlé, and Danone have pledged to increase the recycled content in their single-use polyethene terephthalate plastic (PET) bottles to a range between 25% and 50% by 2025. To fulfil these pledges, brands would need to first collect more used plastic bottles. How many? [Roughly a thousand bottles per second](https://oceana.org/wp-content/uploads/sites/18/Eunomia-x-Oceana-Fact-Sheet.pdf), studies suggest. However, these companies have no control over where their plastic bottles are discarded and the latest data suggests only [9%](https://www.voanews.com/a/percent-of-plastic-worldwide-is-recycled-oecd-says-/6455012.html#:~:text=%22After%20taking%20into%20account%20losses,in%20its%20Global%20Plastics%20Outlook.) of worldwide plastic has ever been recycled since plastic was invented. So unless swift and significant improvements are made in the way plastic bottles are collected and recycled, none of the companies who’ve made pledges will meet their targets by 2025.

## Why it’s not enough

According to Eunomia’s projections, even if the top brands did meet their recycled content commitments, [33.4 billion PET bottles](https://oceana.org/wp-content/uploads/sites/18/Eunomia-x-Oceana-Fact-Sheet.pdf) would still enter rivers, lakes, and oceans. This would amount to just a 7% reduction in PET bottle pollution. Furthermore, the market for PET bottles is expected to grow, meaning the impact of these efforts could be much less than 7%.

Eunomia’s study does however discuss ways to improve bottle collection efforts,  one of which is to use refillable bottles - something that was actually a status-quo until the 1970’s. It works like this: consumers buy a drink, drink it, and then return the bottle for a deposit. The bottling company then proceeds to wash it, refill it, then place it back on the shelves ready to be sold again. These bottles can be used between 20 to 50 times, depending on the material they are made of. Furthermore, industry sources cite a figure of [97.5%](https://oceana.org/wp-content/uploads/sites/18/Eunomia-x-Oceana-Fact-Sheet.pdf) return rate for these bottles. 


## Where to go from here

Though Coca-Cola is [trialling numerous reusable packaging efforts](https://www.coca-colacompany.com/news/coca-cola-announces-industry-leading-target-for-reusable-packaging) in what it touts to be an ‘industry-leading’ effort, a lot more urgency is needed in exploring ways to incorporate circular packaging into the fast-moving consumer goods industry. With ever-developing research in this area and constantly updated plastic pollution targets, we're reexamining our [Coca-Cola campaign](https://tulipshare.com/campaigns/KO?utm_source=blog&utm_medium=blog&utm_campaign=currentplastictargetsarentenough) and working with organisations such as [City to Sea](https://www.citytosea.org.uk/) to understand ways in which we can promote more effective solutions at Coca-Cola.

Because, at the end of the day, tackling the plastic pollution problem will be a global effort and we all have a role to play.



Why Coca-Cola's Plastic Pledge Won't Save The Oceans

While this is a positive move and a step in the right direction, we have identified gaps within the Self Service Repair Program that still need to be addressed. 

Apple made headlines last week after announcing its new [Self Service Repair Program](https://www.apple.com/uk/newsroom/2021/11/apple-announces-self-service-repair/). This is a huge move for Apple, which -  until now - has publicly lobbied against the right to repair movement. 

While this is a positive move and a step in the right direction, we have identified gaps within the Self Service Repair Program that still need to be addressed. 

## The cost for some replacement parts might continue to be prohibitively expensive, with the cost of a brand-new device being only marginally higher

So far, there is no indication of the costs associated with the Self Service Repair Program. How expensive will it be to purchase a repair manual and spare parts?

Under Apple's [current Independent Repair Program](https://www.vice.com/en/article/evjx9j/apple-will-finally-sell-iphone-parts-to-repair-shops-but-not-to-you), which can only be carried out by certain registered technicians, it is sometimes cheaper for customers to buy a brand new device than to get their devices repaired. Whether this will be an issue under the Self Service Repair Program remains to be seen.

## The program will initially focus only on a few types of repairs:

When the Self Service Repair Program is launched next year, only a few types of repairs will be available. These include the most commonly serviced modules such as the iPhone display, battery and camera – but only for the latest two generations.  This is a good start but we will be looking to see if other parts will become available and for earlier generations.  Parts for other Apple products, like laptops, won’t be available when the Self Service Program launches.  

## Apple’s statement that the Self Service Repair program is “intended for individual technicians" is concerning

Apple has [stated](https://www.apple.com/uk/newsroom/2021/11/apple-announces-self-service-repair/) that the Self Service Repair program is  “intended for individual technicians, with the knowledge and experience to repair electronic devices”. They go on further to say that “the vast majority of customers visiting a professional repair provider ... is the most reliable way to get a repair”. 

These quotes suggest that everyday customers who have no electrical repair experience will not be empowered to repair their devices. Many customers therefore may still have to use registered Apple technicians to fix their devices and have to incur higher costs because of this. 

In light of these concerns around Apple’s Self Service Repair program, we will continue to engage with Apple and keep you updated.

On the 28th of April, Johnson & Johnson shareholders will have the opportunity to vote on our [shareholder proposal ](https://tulipshare.com/blog/stop-the-global-sales-of-johnson-and-johnson-talc-baby-powder) about removing talc-based Baby Powder products from global shelves. We’re extremely proud of the work Tulipshare’s done so far to get this proposal as far as this, but we still have some more work to do!
 
In the lead-up to this vote, we thought we’d address a few myths around talc as a reminder of why we started this campaign, and why this vote is so important.
 
## MYTH 1: TALC IS SAFE
 
Johnson & Johnson [claim](https://www.factsabouttalc.com/#:~:text=Not%20only%20is%20our%20talc,cause%20ovarian%20cancer%20or%20mesothelioma.) to only use pure, pharmaceutical grade talc. They also,  “test every lot to ensure it.”
 
**The reality: TALC IS CHEAP**
 
Ken Starr, the man who represents several women with ovarian cancer who are suing Johnson & Johnson, wrote in a [statement](https://www.cnbc.com/2021/06/01/supreme-court-rejects-johnson-johnsons-appeal-of-2-billion-baby-powder-penalty.html):
 
“They could have protected customers by switching from talc to cornstarch, as their own scientists proposed as early as 1973. But talc was cheaper and petitioners were unwilling to sacrifice profits for a safer product.”
 
## MYTH 2: JOHNSON & JOHNSON TALC IS ALWAYS ASBESTOS-FREE
 
Johnson & Johnson make [claims](https://www.factsabouttalc.com/#:~:text=Not%20only%20is%20our%20talc,cause%20ovarian%20cancer%20or%20mesothelioma.) that their talc-based consumer products are “always asbestos free, as confirmed by regular testing since the 1970s.”
 
**The reality: Not all tests yield the same results**
 
However, different [asbestos tests](https://www.fda.gov/media/134005/download) can yield different results. The FDA [currently does not regulate](https://www.asbestos.com/news/2022/01/18/fda-testing-asbestos-talc/) which type of testing companies should run on their products, so it's difficult to know how conclusive JNJ's tests are. 
 
## MYTH 3: IF I STOP USING TALC NOW, I’LL BE FINE
 
It’s probably fine to use talc every once in a while, right?
 
**Reality: Symptoms from asbestos exposure can take years to show up**
 
Asbestos fibres can [remain in the body for about 20 years](https://www.nhs.uk/conditions/mesothelioma/) before symptoms might start to appear. They can even travel up the fallopian tubes and contribute to ovarian cancer. [A study found](https://gpm.amegroups.com/article/view/6033/html) that talc particles were present in 10/13 ovarian tumors tested.
 
## MYTH 4: I DON’T USE BABY POWDER, SO I’LL BE FINE
 
Think this issue doesn’t apply to you because you don’t use baby powder?
 
**Reality: talc can also be found in makeup, pharmaceutical pills, chewing gum, surgical gloves, condoms, among many others.**
 
Sometimes listed in ingredients as talc, talcum or talcum powder, cosmetic talc, or magnesium silicate, [talc is found in a wide-range of products](https://www.nhs.uk/conditions/mesothelioma/)…it’s even been found in crayons!
 
## THE BOTTOM LINE
 
A win for this shareholder proposal would act as a signal to big companies around the world that consumers deserve more transparency, especially where health is concerned. But most importantly it will prevent future cases of mesothelioma and ovarian cancer caused by using Johnson & Johnson’s talc-based products. It’s time to put the health of people over profits.

Did shareholders back our proposal for a racial equity audit?

Unfortunately Salesforce shareholders did not back our racial equity audit proposal at the 2022  AGM.

Yesterday we told Salesforce shareholders and board members that we weren’t happy with Salesforce’s diversity numbers, and that we have concerns about employee claims of a “toxic” working environment.

We put forward a plan to hold Salesforce accountable, **but unfortunately our plan didn’t get the majority backing we needed from fellow shareholders.**

So what does this mean for our campaign? **It’s not over yet, and there is still a lot of work to be done.**

Until Salesforce has filed their Form 8K (within four business days), we won’t know whether or not we received enough votes to re-file again next year.

If we are eligible to re-file next year, we will. It should be said that **even though we didn’t receive a majority backing, some companies will still act on un-passed shareholder proposals**, usually depending on the percentage of backing it received from other shareholders.

In the meantime, we’ve compiled a list of auditors with civil rights related experience, which we intend to put forward if our proposal is successful in the near or far future. We will keep you updated along the way!

Last week the SEC proposed some new rules, which - if passed - could essentially make it harder for companies to exclude shareholder proposals.

The SEC has proposed a few new rules. So what does this mean for shareholder activism? Our blog article explains all.

## So - is this good news or bad news?

This could be good news for shareholders, because it would make it more difficult for companies to exclude proposals based on three of the most commonly used grounds: 

- Substantial implementation: when a company says it’s already making ‘substantial’ improvements to the issue presented by shareholders.
- Duplication: when another shareholder submits a very similar, duplicative, proposal.
- Resubmission restrictions: when a proposal is blocked from being resubmitted because it didn’t previously receive the required backing.

## What does it all mean?

Under the [proposed substantial implementation](https://www.sec.gov/news/press-release/2022-121) amendment, the SEC would examine whether the company has implemented **the essential elements of the proposal**, which will help to ensure that the bases by which companies can exclude proposals as substantially implemented are not over-broad.

And in [determining whether a resolution is duplicative](https://www.sec.gov/news/press-release/2022-121) of a resolution already on the ballot, or whether a resolution is a resubmission of a prior year's proposal that failed to meet its vote resubmission threshold, the SEC proposes to examine whether the resolution “addresses **the same subject matter and seeks the same objective by the same means”.** This rule change will better allow shareholders to offer different approaches to achieving similar objectives, and will narrow the bases by which companies can exclude proposals as duplicative.

## How long until these new changes could come into effect?

All of the above fall under [Rule 14a-8](https://www.sec.gov/news/press-release/2022-121) and when a rule is amended at the SEC there is a 60-day notice and a comment period during which anyone can send in comments either against or in support of the new amendment. The deadline for the comment period on the above changes is September 12, 2022.

## Wait - there’s more…

Additionally, the SEC also adopted another new rule rescinding key provisions of an earlier rule passed under the prior SEC leadership that limited the critical independence of proxy voting advisers. Under the new rule, proxy advisers are no longer required to send their proxy voting advice directly to affected companies and are also no longer required to share company responses to their proxy voting advice with their clients.

## And why is this OTHER new rule important?

According to the [SEC’s website](https://www.sec.gov/news/press-release/2022-120?utm_medium=email&utm_source=govdelivery), the new rule aims “to avoid burdens on proxy voting advice businesses that may impair the timeliness and independence of their advice. The amendments also address misperceptions about liability standards applicable to proxy voting advice while also preserving investors’ confidence in the integrity of such advice.” The SEC further explains that the change “would help to protect investors and facilitate shareholder democracy.”

We joined alongside 63 other leading businesses, investors and civil society organisations in sending a letter to UK Prime Minister Liz Truss, asking the UK government to “urgently introduce a new law requiring companies to carry out human rights and environmental due diligence (HREDD) across their operations and value chains”.

The letter goes on to say that, “…UK businesses, investors and other financial actors have a responsibility to respect our shared human rights and the environment. The process of continuously conducting robust human rights and environmental due diligence (HREDD) is a core requirement for businesses and investors in fulfilling that responsibility…

“…The UK now has a clear opportunity to retain its leading role on this issue and to shape global business conduct for the better - rather than following the footsteps of others. Yet, we are concerned that the UK Government is yet to confirm plans for a new UK law on this issue. Instead, it has repeatedly cited its support for voluntary frameworks - despite the gaps that voluntary approaches leave in regulating global business conduct. Continuing on this path will position the UK as a laggard on these issues, creating an uneven playing field for UK businesses operating in these markets and following these new, mandatory rules…”

This comes after several European countries such as [Netherlands](https://www.business-humanrights.org/en/latest-news/the-next-step-for-corporate-accountability-in-the-netherlands-the-new-bill-for-responsible-and-sustainable-international-business-conduct/), [Germany](https://www.dw.com/en/german-bundestag-passes-new-law-on-supply-chain-ethics/a-57855174), [Norway](https://www.jus.uio.no/english/research/areas/companies/blog/companies-markets-and-sustainability/2021/mandatory-human-rights--taylor.html), [France](https://www.business-humanrights.org/en/latest-news/frances-duty-of-vigilance-law/), [Belgium](https://www.business-humanrights.org/en/latest-news/belgium-parliament-votes-in-favour-of-due-diligence-law-proposal/), among [others](https://corporatejustice.org/publications/map-corporate-accountability-legislative-progress-in-europe/), have either instituted or are in the process of instituting new human rights and environmental due diligence laws.

Salesforce has [faced harsh criticism](https://searchhrsoftware.techtarget.com/news/252496276/Salesforces-remote-work-hiring-strategy-raises-questions) regarding its claim of improving diversity and inclusion through its 2021 remote hiring strategy.

- In December 2020, Bhaskar Chakravorti, dean of global business at The Fletcher School at Tufts University, [wrote in a Harvard Business Review essay](https://hbr.org/2020/12/to-increase-diversity-u-s-tech-companies-need-to-follow-the-talent) that a “roadblock on the path to closing the diversity gap is the extreme geographic concentration of tech companies, which limits the industry’s ability to connect with, recruit, and retain talent from a widely dispersed pool.”    

- In February 2021, Salesforce announced that it would allow its employees to choose between a [“flex” schedule](https://www.techtarget.com/searchhrsoftware/feature/Four-secrets-of-a-successful-flexible-work-arrangement-policy), consisting of a mixture of working part-time in the office and part-time from home, or to work remotely full-time. Salesforce touted its new “work-from-anywhere model” as a means of[ improving its diversity and inclusion hiring](https://www.techtarget.com/searchhrsoftware/feature/Four-secrets-of-a-successful-flexible-work-arrangement-policy).  However, despite Salesforce’s claim that giving employees a choice of where to work will enable the company to “break out of the Silicon Valley hiring bubble,” about “80% of workers want to maintain a connection to the office” and most of its employees work a flex schedule opposed to working fully remote). This means that employees working flex schedules, which is the majority, must live near a Salesforce office. Salesforce’s Worldwide Corporate Headquarters, for instance, is located in San Francisco, one of the most expensive cities in the U.S. with a cost of living 80% higher than the national average ([source](https://www.techtarget.com/searchhrsoftware/news/252496276/Salesforces-remote-work-hiring-strategy-raises-questions)).

- Donald Tomaskovic-Devey, a sociology professor and the head of the Center for Employment Equity at the University of Massachusetts Amherst (the “Center”), determined that “if most employees are in flex jobs, that may imply local recruiting” and “[w]here a firm recruits matters in terms of diversity,” according to the [Center’s data](https://searchhrsoftware.techtarget.com/news/252496276/Salesforces-remote-work-hiring-strategy-raises-questions). In fact, the [Center found](https://searchhrsoftware.techtarget.com/news/252496276/Salesforces-remote-work-hiring-strategy-raises-questions) that the average number of Black employees at Silicon Valley firms was a shockingly low 4.4%. Salesforce’s diversity numbers are even more bleak than those of Silicon Valley.  TechTarget broke down Salesforce’s diversity data into percentages, [finding](https://searchhrsoftware.techtarget.com/news/252496276/Salesforces-remote-work-hiring-strategy-raises-questions) that the company’s U.S. workforce is approximately 64% men and 36% women, and its employees’ race and ethnic distribution is 60% white, 26% Asian and Indian, 4.5% Hispanic, 3.4% Black, 2.8% multiracial, and 2.7% undisclosed.  These numbers are marginally improved compared to 2020, but nowhere near Salesforce’s [claim](https://searchhrsoftware.techtarget.com/news/252496276/Salesforces-remote-work-hiring-strategy-raises-questions) that 50% of its workforce will be made up of underrepresented groups by 2023. 

A closer look at Salesforce’s diversity and inclusion data provides a clear view of the disproportionate hiring practices at play within the company, and how lumping separate unique minority groups into larger intersectional designations does little to actually improve the diversity numbers.  According to Salesforce’s Equal Employment Opportunity Report certified on August 26, 2021 which is currently posted on its official website, the current U.S. diversity numbers within the company [are as follows](https://www.salesforce.com/content/dam/web/en_us/www/documents/reports/sfdc-certified-eeo-1-2021-report.pdf): 

- Male – Hispanic (953); White (12,729); Black (685); Native Hawaiian (52); Asian (5,520); American Indian/Alaskan (42); 2 or more races (519)
- Total male employees: 20,500
- Female – Hispanic (595); White (7,104) Black (453); Native Hawaiian (40); Asian (2,921); American Indian/Alaskan (20); 2 or more races (399)
- Total female employees: 11,532

- Tomaskovic-Devey [went on to say](https://searchhrsoftware.techtarget.com/news/252496276/Salesforces-remote-work-hiring-strategy-raises-questions) that though Salesforce claims it will consider remote work hiring in other locations, it should also implement outreach “that makes clear they are looking for increased diversity in hiring, in order to get the applications.” To this point, Katherine Giscombe, an organizational psychologist and equity and inclusion expert, [asserted that](https://searchhrsoftware.techtarget.com/news/252496276/Salesforces-remote-work-hiring-strategy-raises-questions) Black employees “have much less inherited wealth than whites,” and “[h]aving to live in an expensive area could be prohibitively expensive for many people of color.”

- Another reason why experts are skeptical of Salesforce’s remote work hiring strategy is the way in which it affects women.  For instance, Roberta Guise, founder and president of FemResources Inc., a San Francisco-based nonprofit that works to establish gender equality in the tech industry, [asserts that](https://searchhrsoftware.techtarget.com/news/252496276/Salesforces-remote-work-hiring-strategy-raises-questions) women who seek out remote work may face “old biases” from hiring managers, specifically “notions that women won’t be able to balance work and children,” and that when a woman’s parental or single parent status is known, “she’s less likely to be hired.” Chakravorti stresses that Salesforce must explain “how their new talent recruiting strategies are being organized to realize [its diversity goals].”  However, when asked, [Salesforce refused to share ](https://searchhrsoftware.techtarget.com/news/252496276/Salesforces-remote-work-hiring-strategy-raises-questions)additional details regarding its recruitment strategy.

Despite high-profile diversity marketing, Salesforce has consistently failed to improve its employee diversity numbers: 

- Though Tony Prophet was hired in 2016 as Salesforce’s first ever Chief Equality Officer and the company began releasing quarterly equality reports, the number of Black employees in Salesforce’s U.S. workforce [only grew to 3.5% ](https://www.businessinsider.com/salesforce-push-to-improve-equality-yielded-slow-results-tony-prophet-2020-11)compared to 2% in 2015.  This abysmal rate of improvement [is mirrored](https://www.businessinsider.com/salesforce-push-to-improve-equality-yielded-slow-results-tony-prophet-2020-11) by its Hispanic representation which inched up from 4% in 2015 to 4.5% in 2020.

- Salesforce’s diversity numbers remain nowhere near its purported goal that 50% of its workforce will consist of underrepresented groups by 2023.   Currently, the company’s diversity breakdown is: 64% men and 36% women with a race and ethnic distribution of 60% white, 26% Asian and Indian, 4.5% Hispanic, 3.4% Black, 2.8% multiracial, and 2.7% undisclosed. Salesforce must explain “how their new talent recruiting strategies are being organized to realize [its diversity goals].”  However, when asked, Salesforce [refused to share ](https://www.techtarget.com/searchhrsoftware/news/252496276/Salesforces-remote-work-hiring-strategy-raises-questions)additional details regarding its recruitment strategy.

While Valentine’s Day should be a time for people around the world to express their love for one another, it is hard to ignore the unethical practices that contribute to the global supply of novelty heart shaped chocolates.

In the 2001 [Harkin-Engel Protocol](https://www.ilo.org/africa/technical-cooperation/accel-africa/WCMS_159486), major cocoa companies promised to end their reliance on child labour. However, it has been steadily increasing, with a recent [US Department of Labor funded study](https://www.dol.gov/agencies/ilab/our-work/child-forced-labor-trafficking/child-labor-cocoa) finding that 1.56 million children are engaged in hazardous work on cocoa farms in Ghana and Cote D'Ivoire. As a result, the EU is also proposing [banning all products](https://ec.europa.eu/commission/presscorner/detail/en/ip_22_5415) made with forced labour. 

Today, many children are trafficked from Mali and Burkina Faso to work under slavery-like conditions. Forced child labour routinely results in extreme [bodily](https://www.ilo.org/ipec/facts/WorstFormsofChildLabour/Hazardouschildlabour/lang--en/index.htm) and [mental harm](https://pubmed.ncbi.nlm.nih.gov/29961044/), and in nearly every case, it [cuts children off](https://www.ilo.org/ipec/Action/Education/lang--en/index.htm) from [schooling](https://international-partnerships.ec.europa.eu/news-and-events/stories/child-labour-keeping-millions-children-out-school_en) and [health care](https://www.ncbi.nlm.nih.gov/pmc/articles/PMC6459361/#:~:text=Child%20labor%20was%20found%20to,disorders%2C%20and%20decreased%20coping%20efficacy.), restricting their fundamental rights and threatening their futures. Moreover, United Nations officials estimated that the Covid-19 pandemic exacerbated these issues, funnelling [millions of children](https://www.reuters.com/markets/commodities/year-end-child-labour-covid-wreaks-havoc-2021-12-21/) into the workforce, including ten-year-olds working on cocoa farms in West Africa.

There have been many attempts over the last couple of decades to hold major cocoa companies legally and otherwise accountable for their ongoing use of child labour in supply chains. But these companies persist in prioritising short-term profits fuelled by the cheap labour of exploited children, and continue to ignore the negative financial impacts that their persistent violation of human rights can have on the longevity of their businesses.

Last year, Mondelez, owner of household brands like Oreo and Cadbury, [announced plans](https://www.reuters.com/business/sustainable-business/cadbury-maker-mondelez-invest-600-mln-sustainable-cocoa-sourcing-2022-10-25/) to invest $600 million by 2030 as it tries to combat child labour and poverty amongst farmers as well as deforestation. While the news that Mondelez is taking steps to address supply chain issues is welcome, it’s not enough. 

With a projection of reaching over [$1.3 trillion in value by 2027](https://www.statista.com/forecasts/983554/global-chocolate-confectionery-market-size), the chocolate and confectionery industry has a lot of potential. But as investors we cannot sit back and watch companies profit from unethical business practices like we are seeing in Mondelez’s supply chain.

We can't be swayed by claims that they will give children a living wage or work to fix human rights issues over the next ten years. Especially since they have been making this promise for the [last two decades](https://www.ilo.org/africa/technical-cooperation/accel-africa/WCMS_159486), and have already installed a program called Cocoa Life that pledges to enhance child protection systems within their supply chains.

As shareholders, we're looking for eradication of child labour now, not by 2030. A violation of human rights like this can adversely impact a corporation's ESG ratings, thereby inhibiting investors, worsening their risk management, increasing their costs, reducing their revenues and lowering their share price.

With blockchain and [distributed ledger technology](https://www.oecd.org/daf/blockchain/oecd-recommendation-on-blockchain-and-other-dlt.htm), companies now have a safe and transparent tool to effectively monitor and police their supply chains. There is no longer any financial excuse for forced or hazardous child labour to be a part of any company's supply chain.

It is our job as investors to engage with companies and push them to meet better environmental, social, and corporate governance targets, and drive change that creates better outcomes for investors and the planet. 

For companies like Mondelez, it is about time they part ways with unethical chocolate and help end a long history of child labour from continuing across the industry.


Break Up With Unethical Chocolate this Valentine's Day

You might have seen by now that Tulipshare submitted a shareholder proposal to Amazon this year. Here’s why Amazon is trying to exclude it, and why we remain hopeful that it will be on this year’s shareholder ballot.

## What is it about?

We are fighting to end the unsafe working conditions and unfair treatment that Amazon warehouse employees have been subjected to through a workers’ rights targeted shareholder proposal. The [proposal](https://tulipshare.com/campaigns/AMZN) requests Amazon commission an independent audit of the working conditions and treatment that Amazon warehouse workers face. 

While Amazon strives to be the “Earth’s Best Employer” and “[Earth’s Safest Place to Work](https://www.aboutamazon.com/about-us)”, a recent [report](https://thesoc.org/amazon-primed-for-pain/) indicated that Amazon warehouse employees suffer serious injuries at a rate which is 80% higher than those who work at non-Amazon warehouses. 

## Why are Amazon trying to exclude it?

In response, [Amazon has written](https://www.sec.gov/divisions/corpfin/cf-noaction/14a-8/2022/dadashidominiamazon012422-14a8-incoming.pdf) to the Securities and Exchange Commission (SEC)  requesting that the workers’ rights proposal be excluded from the company’s 2022 proxy statement. Amazon claims that workplace safety concerns and workers’ rights relate to the company’s “ordinary business operations”, and should therefore be excluded from the shareholder vote at the upcoming AGM. 

## Why our proposal could still go through

However, Tulipshare hopes to leverage recent changes to the [SEC’s new guidance](https://urldefense.com/v3/__https:/www.sec.gov/corpfin/staff-legal-bulletin-14l-shareholder-proposals__;!!GFN0sa3rsbfR8OLyAw!K2yvCc6VHi_JkeRyjm0QI7XuP65tUp3lB4RCD6ydFund-b-yhg6sKGq1wy8wQcmf-m8jM3Y$), which came into force on 3 November 2021, to engage with the company. These new rule interpretations state that shareholder proposals raising significant social policy issues may no longer be excluded under the “ordinary business exception”. They will argue that the unsafe working conditions faced by Amazon’s warehouse workers qualifies as a significant social policy that transcends the ordinary business of the company. 

If the shareholders are successful, **it would be the first time a proposal submitted on behalf of retail investors would make it onto the proxy ballot at Amazon’s AGM**. This would be a major win for retail investors who want to have a greater say on how companies operate by using activist investment platforms. Over the weekend Amazon filed their [Form 8-K](https://ir.aboutamazon.com/sec-filings/sec-filings-details/default.aspx?FilingId=15871509) and we learned that our Amazon proposal received a whopping 44% of votes in favour.

Jeff Bezos owns just under 10% of shares. Which means, if you remove insider shares, our vote would have 53% majority…meaning it would have won!

**To put this into perspective:**

**Tulipshare**- a small, newly-formed British fintech startup with a tiny amount of shares in Amazon - **went up against Jeffrey Bezos** - one of the richest people in the world, who owns about 10% of Amazon shares - **and ALMOST WON.**

We may have lost this round, Bezos - but the fight is not over.

We’re encouraged by how much backing this proposal has received from individual and institutional shareholders alike, and even more excited to see shareholder activism shaking things up and showing its potential to make real change for workers’ rights.

If you've been following Tulipshare's Amazon campaign seeking to improve warehouse worker safety then you're aware that Amazon constantly surveils employees though an oppressive "time off task" monitoring system. 

But you may not be aware that surveillance and privacy concerns extend beyond Amazon's employees. Consumers and investors should also be aware that Amazon is surveilling them. The Federal Trade Commission [is investigating](https://www.fightforthefuture.org/news/2022-09-20-breaking-news-civil-rights-groups-score-a-win-with-ftc-investigation-of-amazon-irobot-deal) Amazon's acquisition of iRobot and related privacy concerns.

It’s also worth mentioning that Amazon wants to establish a healthcare industry monopoly. They took the first step by [recently acquiring](https://www.fiercehealthcare.com/health-tech/amazon-shells-out-39b-primary-care-startup-one-medical) health provider One Medical for a whopping $3.9 billion — and Amazon doubled down by [bidding to buy](https://www.forbes.com/sites/brucejapsen/2022/09/05/cvs-health-bests-amazon-rivals-for-signify-health-with-8-billion-bid/?sh=465a5b721cbd) home health care technology company, Signify Health. Amazon has a long history of crushing its competitors and capitalizing on and abusing our data, which raises serious concerns about the tech giant providing healthcare. 

What’s more, Amazon [finally admitted](https://arstechnica.com/tech-policy/2022/07/amazon-finally-admits-giving-cops-ring-doorbell-data-without-user-consent/) this year to giving cops Ring doorbell data without user consent. It’s been [reported](https://www.cbsnews.com/news/amazons-ring-videos-tv-show-mgm/) that they have plans to produce a ‘Funniest Home Videos’ style show using footage captured from Ring doorbells across the US. Though the producers have ensured all rights and permissions to use any home video footage will be obtained, it demonstrated some of Amazon’s first steps into the entertainment industry (having [recently acquired](https://www.cnbc.com/2022/03/17/amazon-closes-deal-to-acquire-hollywood-studio-mgm.html#:~:text=LightRocket%20%7C%20Getty%20Images-,Amazon%20on%20Thursday%20said%20it%20had%20closed%20its%20%248.5%20billion,consumers%20through%20more%20streaming%20video.) MGM Studios) and the inescapable reach they now have across consumer lives. Advocacy groups are [also concerned](https://twitter.com/ben11kehoe/status/1575163014512517123?cxt=HBwWhoDR9dCajdwrAAAA&cn=ZmxleGlibGVfcmVjcw%3D%3D&refsrc=email) that this show is “normalizing and promoting Amazon Ring’s dangerous network of surveillance cameras.”

All this points back to the urgent need to ensure sufficient checks and balances on a company which is quickly monopolising our lives, with shareholder advocacy being one of the most demonstrably successful ways to do just that.

Huge climate resolutions are being voted on at company AGMs around the world - and your money could have a big part to play in how those votes go.

The proverbial “proxy season” happens each year between mid-April and mid-June, during which time many large corporations will host their annual general meetings - or AGMs. In the run-up to these meetings companies give shareholders crucial information (in the form of proxy statements) about the company, including issues that will be up for vote during the annual meeting.

As you can imagine, this is an important time for shareholders because this is when they have the power and potential to try to make real change within a company – [by voting](https://www.youtube.com/watch?v=4aFBfKXbSZU). Here’s what you need to know.

### FIND OUT IF YOU CAN VOTE

Not all shares come with voting rights attached, so if you own shares in a company make sure you check with your broker-dealer to find out if your shares have voting rights attached. Some platforms such as [Tulipshare’s](https://tulipshare.com/?utm_source=partnership&utm_medium=blog&utm_campaign=yourmoneyyourvoice) ensure that voting rights come with every share purchased, no matter how big or small.

You’ll also need to check the company’s AGM record date to make sure you’ve owned your shares by the required cut off date in order to participate in the company AGM.

### FIND OUT WHAT’S ON THE BALLOT

You can find out when a company’s AGM will be, as well as what will be on the agenda, by reading a company’s ‘proxy statement’. These are issued well in advance of the company AGM - usually in April. Company AGM dates tend to change year to year, but it’s worth checking the company’s previous AGM dates to work out roughly when to expect more information.

The company proxy statement will list the agenda for the annual meeting, including which resolutions shareholders will have an opportunity to vote on. These could be company resolutions or resolutions proposed by shareholders themselves. 

Typically a company will issue statements about whether or not they support each resolution. It’s important to read through all the material and make sure you’re getting a clear understanding of what you’re voting on.

You may also have the opportunity to listen to presentations about the proposal during the AGM. 

### CAST YOUR VOTE

This is the fun part where you can use your voice. Most companies will let you vote remotely ahead of the AGM (after the proxy statement is available) or else you can vote at the AGM itself.

Many investment platforms are finding ways to make it as easy as possible for individual investors to cast their vote remotely. This could be through a button in an email, or tool in the platform’s portal or app. Contact your broker-dealer or pension provider if you have any questions or need clarification on how to vote. 

Otherwise, the company’s proxy statement should also offer information about how to cast your vote.

What happened with fossil fuels at JPMorgan's 2022 AGM?

On the 17th of May shareholders had the chance to attend and vote at the JPMorgan Chase virtual AGM. 

Did you participate?

If not, you might be curious about the voting results. You will remember that our proposal for JPMorgan to divest in fossil fuels was duplicative. 

Proposal 4, the duplicative one filed by Mercy Investments calling for divestment in fossil fuels - won only 9.97% of votes. Though we do not know Mercy Investments intentions for re-filing, we will continue to push for change at JPMorgan through continued engagement.

The other big news from the day was that ISS and Glass Lewis - two proxy advisors which provide institutional investors with research and data, as well as recommendations on management and shareholder proxy proposals that are voted on at an organization's annual and special meeting - advised voting against JPM's CEO Jamie Dimon’s $52.5 million stock option bonus. The advisory say-on-pay referendum showed that only 31% of shareholders approved of JPM's executive pay based on the preliminary count (compared to eight of the last 12 years where JPMorgan had won approval from more than 90% of votes cast for executive annual compensation - a huge shift).

What Happened at the JPMorgan AGM?

You might have seen some press around the fact that we’ve successfully filed a shareholder resolution with Johnson & Johnson.

Despite multiple attempts to exclude our proposal from the company’s proxy statement, including multiple letters to the SEC, the SEC rejected their request to exclude it on the basis that “the proposal does not deal with Johnson & Johnson’s litigation strategy or the conduct of the litigation to which Johnson & Johnson is a party”. 

## Why we’re asking shareholders to vote to ban sales of talc

In 2020 Johnson & Johnson’s talc-based Baby Powder was shown to contain [traces of asbestos](https://www.fda.gov/cosmetics/cosmetics-recalls-alerts/fda-advises-consumers-stop-using-certain-cosmetic-products) - a carcinogen known to cause cancer with no safe exposure level. In response to the contamination findings, the company recalled the product and discontinued the sale of its talc-based powder in North America citing [‘a lack of demand’ and a ‘constant barrage of litigation advertising’](https://www.jnj.com/our-company/johnson-johnson-consumer-health-announces-discontinuation-of-talc-based-johnsons-baby-powder-in-u-s-and-canada). Despite this, Johnson & Johnson continues to sell its talc-based products globally, including in the [UK](https://www.bbc.com/news/business-52732755). Since June 2021, Johnson & Johnson has had to pay [$2.1 billion in damage](https://www.bloomberg.com/news/articles/2021-06-01/j-j-must-pay-2-1-billion-talc-award-as-top-court-rejects-appeal) after the US supreme court refused to hear the company’s objection to a 2018 verdict that their talc-based baby powder caused ovarian cancer in more than 20 women.

In February 2022, a US judge ruled that Johnson & Johnson could proceed with a [controversial bankruptcy strategy](https://www.ft.com/content/4bff8f60-8fdd-4e52-aaaf-5ada92d4311d) known as the “[Texas two-step](https://www.npr.org/2022/01/07/1071181199/johnson-johnson-tests-a-legal-maneuver-known-as-the-texas-two-step)” to help it manage 38,000 legal claims against it. This involves moving the claims to its subsidiary, LTL Management LCC which will affect future injured parties who might try to bring a claim against Johnson & Johnson.

Recent news around Elon Musk is proving a point about the lack of checks and balances in corporate governance.

Apparently when cells are isolated, they [become](https://www.instagram.com/reel/Cgr231AJicP/?igshid=MDJmNzVkMjY%3D) dysfunctional. And maybe the same is true for billionaire CEOs because Elon Musk, arguably isolated by his own wealth and unchecked power, has had a dysfunctional few weeks, to say the least.

It’s hard to pinpoint the exact moment when it got irreversibly strange, but Elon [carrying a sink into Twitter HQ](https://twitter.com/elonmusk/status/1585341984679469056) is probably a good place to start for the purposes of this article - because it’s been said that it's the sort of joke people make when they're surrounded by yes-men who aren't brave enough to tell you when a joke is not very good. And being surrounded by yes-men can be a problem, when it comes to corporate governance. 

But Twitter is now privately held so Mr. Musk is entitled to run the company as he wishes without [having](https://www.nytimes.com/2022/10/27/technology/elon-musk-twitter-deal-complete.html) to answer to shareholders. Though it seems [selling blue ticks is a harder business](https://analyticsindiamag.com/twitter-blue-tick-fiasco-eli-lilly-lockheed-martin-others-lose-billions/) than even he realised.

But Tesla, on the other hand, appears to be suffering a little neglect. 

Firstly, Tesla stock price [dipped](https://www.marketwatch.com/story/tesla-stock-set-to-lose-more-than-8-this-week-as-ceo-elon-musk-completes-another-roller-coaster-week-at-twitter-11668184722) 5% last week alone. This could be for a number of reasons, ranging from Elon Musk’s decision to keep [dumping](https://fortune.com/2022/11/09/elon-musk-tesla-investors-stock-share-sale-twitter-acquisition/) Tesla stock (even though he [said](https://www.theguardian.com/technology/2022/nov/09/elon-musk-sells-tesla-shares-worth-4bn) he was done doing that in August) so that he could afford to buy Twitter. Or it could be due to the fact that Tesla’s [struggling](https://www.telegraph.co.uk/business/2022/10/03/tesla-shares-sinks-struggle-ship-cars-leads-missed-delivery/#:~:text=Tesla%20has%20missed%20its%20electric,than%20expected%20in%20recent%20months.) to keep up with production numbers. A Kelly Blue Book survey showed that Tesla has [dropped](https://www.coxautoinc.com/market-insights/q3-2022-kelley-blue-book-brand-watch-report-luxury/#:~:text=Tesla%20fell%20to%20sixth%20from,10%25%20from%20the%20second%20quarter.) to sixth place in a ranking of most-shopped luxury-cars.
 
Secondly, Elon’s been [firing](https://mashable.com/article/elon-musk-fires-more-twitter-workers) tons of Twitter employees and [using](https://t.co/WDgE01h2gW) Tesla engineers to plug the gaps, which hardly seems like good governance from Tesla’s perspective.

Thirdly, the [trial](https://www.reuters.com/article/tesla-compensation-trial-idINL1N327237) calling Elon’s executive compensation for Tesla into question has now begun, thanks to [one brave heavy metal drummer](https://www.reuters.com/legal/elon-musk-braces-56-bln-battle-with-heavy-metal-drummer-2022-11-11/). As a reminder, shareholders are suing Mr. Musk, arguing that his excessive ~$56million executive pay package “was rigged with easy performance targets and that investors were duped into approving it,” as reported by [Reuters](https://www.reuters.com/article/tesla-compensation-trial-idINL1N327237). The board that helped make that pay package possible happened to [include](https://www.fa-mag.com/news/how-elon-musk-scored-a--55-billion-pay-package-that-s-now-under-fire-70595.html?section=3&page=3) Elon’s own divorce lawyer, Todd Maron.

> “Musk’s $56 billion Tesla pay package has significantly boosted Musk’s personal wealth, but has not helped Tesla become a more sustainable business, hurting stakeholders and preventing the company from acting as a force for good.” - Anotine Argouges, Founder and CEO of Tulipshare said in response to the trial. 

But Elon’s compensation package is not actualized by stock value. So how is it determined? Essentially, Elon Musk is entitled to his pay package as long as the market cap of Tesla reaches a certain level (and stays there for at least six months) and Tesla revenue hits necessary targets. Mr. Musk also has to hold his shares for a minimum of five years, so he can’t just cash in immediately each time these targets are reached.

On the surface it almost seems reasonable. But there is worry that Tesla is [overvalued](https://uk.yahoo.com/finance/news/tesla-stock-plunge-analyst-172316404.html), and that worry - combined with other [concerns](https://nypost.com/2021/12/24/tesla-explodes-after-mechanics-charge-man-23k-for-new-battery/) about Tesla’s batteries, [supply chain](https://www.insiderintelligence.com/content/tesla-losing-billions-of-dollars-due-supply-chain-issues-isn-t-its-only-problem), and company [culture](https://www.rollingstone.com/culture/culture-features/tesla-sexual-harassment-lawsuit-investigation-elon-musk-1234590697/) - could have long term effects on market cap as well as shareholder value. 

So what’s the moral of this eventful story? It all comes back to checks and balances. Whilst it’s entertaining to watch eccentric CEO billionaires making dramatic decisions, the fact that they can do so with relatively few consequences is also worrying. Especially when you consider the implications that these decisions have over our everyday lives. 

Consider Twitter as an example, which has seen use of the N-word slurs [rise](https://analyticsindiamag.com/twitter-blue-tick-fiasco-eli-lilly-lockheed-martin-others-lose-billions/) by almost 500% since Musk fired pretty much the entire content moderation team. What’s more, Eli Lilly and Lockheed Martin have reportedly lost billions after fakers used the blue tick monetization to pose as those companies to tweet parody statements.

One Twitter user went so far as to [label](https://analyticsindiamag.com/twitter-blue-tick-fiasco-eli-lilly-lockheed-martin-others-lose-billions/) the new Blue scheme as “one of the world’s most cost-effective anti-capitalist tools.” Perhaps not so coincidentally, [reports](https://www.washingtonpost.com/technology/2022/11/11/twitter-fake-verified-accounts/) have since emerged that the scheme didn’t pass the company’s own internal risk evaluation process.

Meanwhile Tesla, which is supposed to be a beacon of ESG hope, has slipped off the S&P 500 ESG Index at a time when environmental solutions are paramount to the planet’s success.

So whilst the Musk saga presents as an amusing topic for comic satire, WhatsApp groups, and dinner parties alike, we also need to reflect on what the everyman can do to bring order to the dysfunctional chaos and keep unchecked power in check.

What's Up With Elon? (HINT: it's not Tesla's stock price)

Nike's lack of response around forced labour and their supply chains hasn't gone unnoticed. So we've written an open letter to them, which you can read below.

<u>Re: Investor Engagement on Forced Labor and Supply Chain Concerns</u> 

To the Board of Directors of Nike, Inc.: 

Tulipshare Ltd. (“Tulipshare”) is a shareholder activist investment platform that offers online brokerage to support its corporate campaigns. Our platform allows investors to unite around important causes and use their shareholder rights to drive positive change. We facilitate this by engaging in direct dialogue with target companies and by sponsoring shareholder proposals. 

As a long-term shareholder in Nike, we are writing to express our grave concern about Nike’s unresponsiveness to our outreach attempts to the Company’s Investor Relations (IR) team, concerning Nike’s efforts to eradicate forced labour in its business operations and throughout its value chains, and to embrace its corporate responsibility to respect human rights by adopting the UN Guiding Principles on Business and Human Rights. 

We first reached out to Nike’s IR team via email on March 4 and October 21, 2022, as well as on January 27, 2023, but Tulipshare has not received a single response. The Company’s unresponsiveness demonstrates that Nike is willingly ignoring shareholders on issues concerning forced labour - a particularly salient risk within  business operations and supply chains of apparel & footwear (A&F) sector companies. The industry is estimated to employ more than 60 million people at production level, many of whom are women and migrant  workers. 

As noted in our previous outreach attempts, we appreciate that Nike has committed to make some changes to improve its labour supply chain. However, we are concerned by the lack of transparency relating to Nike’s disclosures on whether the Company is on track to meet certain targets. We are also gravely concerned that Nike lacks an adequate remediation process for aggrieved supply chain workers, which could lead to human rights violations, such as wage theft. 

Many of these concerns likely rise to the level of significant social policies with broad societal impact that  transcend a company’s ordinary business, as defined by the U.S. Securities and Exchange Commission.  Which is why, as shareholders, we recommend that Nike incorporate the American Bar Association’s Model Contract Clauses (MCCs) into the Company’s supplier contracts. Adoption of the MCCs would ensure Nike has met its due diligence requirements to engage in responsible purchasing practices, protect workers’ right to freedom of association, and integrate proper remedies into supplier contracts.

Tulipshare is one of over 160 investors, representing over USD$7 trillion in assets under management, who  have signed the KnowTheChain statement. We are greatly concerned by Nike’s poor rating and engagement  in the KnowTheChain A&F benchmark. The benchmark evaluates 60 of the largest publicly traded  companies in the A&F sector on their efforts to address forced labor in their supply chains. In 2021, Nike  scored only 62 out of 100 possible points overall, 48 on the theme of purchasing practices, 38 on worker  voice, 63 in traceability and risk, and 70 on monitoring. Tulipshare recognises that a portion of Nike’s supply chain is certified by FLA Workplace Code of Conduct, including the final stage of production, and  the Company ensures payment of a living wage in a small portion of its supply chain. Though these efforts  are commendable, Nike received a score of 51-60% in the 2021 Fashion Transparency Index, highlighting  that there is still a lot more Nike can be doing to ensure its workers are adequately safeguarded. 

The issues described above expose the Company to legal, financial, and reputational risks. Nike’s lack of  transparency and engagement with shareholders exacerbates the potential of human rights abuses occurring  in the Company’s supply chain. 

To reiterate Tulipshare’s previous correspondence to the Company, shareholders are calling on Nike to: 

- Commit to responsible purchasing practices in its contracts with suppliers, as outlined by the  American Bar Association’s MCCs, and publicly disclose its responsible purchasing practices  including planning and forecasting, and whether/how it ring-fences labor costs; 
- Work with independent local or global trade unions and/or other legitimate worker  representatives to improve freedom of association in its supply chains; 
- Become party to a global framework agreement that covers its supply chains and/or an  enforceable supply chain labor rights agreement with trade unions or worker organizations; and 
- Commit to prioritizing human rights remediation over traditional forms of remediation in  contracts with suppliers, i.e., financial or non-financial compensation. 

We call on Nike to actively engage and collaborate with investors and stakeholders in identifying, assessing, and avoiding actual or potential human rights abuses that may significantly disrupt the Company’s business,  competitive advantage, and the livelihoods of many workers.

Meanwhile, ExxonMobil has appeared in [the news](https://apnews.com/article/climate-environment-darren-woods-lawsuits-9650332ea94d2ee22eb415e80b142134) after their bid to dismiss a lawsuit was rejected by the Massachusetts Supreme Judicial Court. The lawsuit was filed by Massachusetts Attorney General Maura Healey and accused ExxonMobil of deceiving consumers about their effect on climate change in a manner “reminiscent of the tobacco industry’s long denial campaign about the dangerous effects of cigarettes.” 

## Chubb

## McDonald’s

As You Sow’s [proposal](https://tulipshare.com/campaigns/MCD) asking McDonald’s to issue a report outlining better sustainable packaging policies for plastics sadly did not receive a majority backing, though it did receive a substantial 41.9% support. This is an encouraging result which enables a re-filing for next year, and has likely caught the attention of McDonald’s management. ## Meta (Facebook)

Meta’s AGM was held on the 25th of May and during the meeting they announced that As You Sow’s [proposal](https://tulipshare.com/campaigns/FB?utm_source=organic&utm_medium=blog&utm_campaign=AGMroundup) regarding misinformation and governance of harmful content earned a 19.2 % vote. They have since released their [Form 8-K](https://www.sec.gov/ix?doc=/Archives/edgar/data/1326801/000132680122000066/fb-20220525.htm). We will regroup with AYS to determine our next steps and keep you updated. However, 63.1% of independent shareholders voted in favour of the resolution, which shows that many individual shareholders are engaged and interested in this issue.

## Alphabet (Google)

As You Sow’s [proposal](https://tulipshare.com/campaigns/GOOGL?utm_source=organic&utm_medium=blog&utm_campaign=AGMroundup) for Google to report its water usage (and impacts on climate-related water risk) sadly did not pass, receiving a vote of 22.6%. However, 64.9% of independent shareholders voted in favour of the proposal, which is very encouraging.

In light of the [announcement](https://tulipshare.com/blog/JNJ-stop-sale-of-talc-based-baby-powder-after-calls-from-investors) that Johnson & Johnson is removing talc from Johnson’s Baby Powder around the world, many of you have wondered: **what comes next for our campaign?**
 
Well, we met with Oxfam to discuss some concerns they’ve had with the way Johnson & Johnson is pricing their COVID-19 vaccines. Johnson & Johnson (JNJ) received government financing to develop the COVID-19 vaccine, but it’s unclear how that money was spent and if it’s factored into their vaccine pricing and access. 
 
Despite Joe Biden [declaring](https://www.theguardian.com/us-news/2022/sep/19/biden-says-covid-pandemic-is-over-despite-us-daily-death-toll-in-the-hundreds) the COVID-19 pandemic “over,” COVID-19 continues to cause deaths, long-term health consequences, and economic disruption for millions of people across the globe. Vaccines and therapeutics are essential tools to reduce mortality, and vaccines can reduce the emergence of more transmissible and vaccine-resistant variants.

## Microsoft  - Stop Funding Anti-Abortion Movements

Going back to 2022's shock moment when Roe v. Wade was overturned, dozens of corporations, including Microsoft, pledged support to employees seeking abortions all over the country. 

While Microsoft was praised for supporting a woman’s right to choose, they were also making six figure donations to RAGA -  the institution responsible for overturning Roe v. Wade. 

We teamed up with the [Center for Political Accountability](https://www.politicalaccountability.net/) to ask Microsoft to increase transparency with their political spending and be honest with the public and shareholders alike about how this spending aligns with their public-facing values. ## Nike - Protect Your Supply Chain Garment Workers

Nike is a household name and, despite the pandemic, they made record-breaking profits this year, issuing $2.3 billion dividends and signing seven to eight figure contracts with ambassadors athletes. 

But Nike was also labelled as a brand which "can show no evidence of a Living Wage being paid to any workers," according to a report by Tailored Wages UK. Their innovative approach to outsourcing the vast majority of their production has also made it difficult to enforce their supply chain code of conduct.

## Capri Holdings - Versace, Michael Kors, and Jimmy Choo Must Implement a Sustainable Supply Chain

Two out of three companies under Capri Holding, Micheal Kors and Versace only scored 1% on its traceability to supply chains. 

What does this mean? It means workers who make their garments could be subject to  exploitation, wage theft, unsafe working conditions, and a poor working environment.

## Mondelez - End Child Labour in Production

Home to world-renowned brands such as Cadbury, Oreo and Toblerone, with business in over 150 countries globally, Mondelez is also guilty of exploiting children in its supply chain. 

It’s a long standing issue, and the company - alongside most chocolate manufacturers - made a promise to end child labour two decades ago, yet 1.56 million children are still exploited daily in Ghana alone.

## Post Holdings - Disclose Harmful Pesticides in our Cereal

Pebbles and Weetabix - often a family favourite when it comes to breakfast - could also have an undisclosed amount of pesticides lurking. Chemicals used in pesticides are known to cause birth defects in laboratory animals and disrupt hormones as well, which can affect fertility.

By failing to disclose the use of  pesticides in its supply chain, Post Holdings cannot assure consumers that their foods are safe. In fact, Post Holdings [scored zero](https://www.asyousow.org/resolutions/2022/08/02-post-holdings-pesticide-use-in-agricultural-supply-chain) on the 2021 investor scorecard for pesticide management, ranking last out of all companies assessed.

## Apple - Enhance Reporting on App Store Takedowns

Apple is not a new campaign to Tulipshare users. Over the past year we have advocated for Apple to have an accessible right to repair. Not long after we opened our campaign, Apple announced an extension of the Self-Service Repair, which made repairing much easier and accessible. Although the solution is not yet perfect, it's a step in the right direction and success for our campaign.

However, we have since had conversations with Azzad Asset Management and discovered another suppressed issue at Apple - and that is their removal of apps from the App Store in response to government requests.

A couple of weeks ago, [news broke](https://t.co/LBcWPbvngx) that Tesla changed their annual general meeting (AGM) date in a way that put most shareholders on the back foot with regards to filing proposals. ​​As reported by [Fortune](https://t.co/LBcWPbvngx), “Meredith Benton, the founder of an ESG-focused consulting firm who’s been involved in shareholder activism for 20 years, said she’s never seen a company announce an annual meeting date the way Tesla did."

Due to a discrete announcement on page 57 of its 60 page [10-Q](https://ir.tesla.com/_flysystem/s3/sec/000095017022019867/tsla-20220930-gen.pdf) filing in October, shareholders, including Tulipshare, were unable to file their proposals in time. 

Tesla’s decision to move the AGM without making shareholders duly aware speaks to the urgency of our campaign and the apparent lack of accountability for the company’s environmental, social and governance reputation. 

Our campaign looks to link mandatory human rights and environmental due diligence policies to Elon Musk’s compensation package in order to incentivise timely and systemic company improvements regarding human rights and climate change.

Additionally, in light of Musk’s [recent tweets](https://money.usnews.com/investing/news/articles/2023-01-24/musk-tweets-proxy-voting-firms-have-far-too-much-power) voicing concerns on proxy voting firms having too much power, Tesla's decision to announce the date for their upcoming AGM in such a manner felt like somewhat of a chess move, at the very least without reverence for public markets, financial inclusion and shareholder democracy.

**So what does this mean for our campaign?**

Though we are no longer qualified to file a shareholder proposal with Tesla for the 2023 AGM, we are continuing our engagement efforts and have requested a meeting with the company’s investor relations team, though we have yet to hear back.

Concerns are mounting about the health of the company, with [news](https://t.co/LBcWPbvngx) of Tesla’s share price taking further hits (along with Elon Musk’s personal fortune) despite [plans](https://www.reuters.com/markets/deals/tesla-invest-over-36-bln-nevada-build-two-new-factories-2023-01-24/) for a $3.6million expansion to Nevada, and [delays](https://www.theguardian.com/technology/2023/jan/08/musk-tesla-tweets-trial-san-francisco-texas) to Musk’s shareholder lawsuit, owing to ongoing negative press raising questions around jury bias.

## Introducing our Apple campaign & why it’s important 

Our [Apple Campaign](https://tulipshare.com/campaigns/AAPL) seeks to lobby Apple to implement fair, independent repair and self-service repair programs. The tech giants have received a lot of criticism in recent times due to their expensive and inaccessible repair policies, which have in part fuelled the throw-away culture that many of us are accustomed to. 

[Research](https://fixapplenow.com/why-are-apple-repairs-so-expensive/) shows that for customers without AppleCare+ policies, it can cost up to $600 for repairs on newer iPhones, while out-of-warranty MacBook repairs can cost anywhere between $199 and $1,475. The high cost of repairs stems from the fact that Apple manages all of their repair services in house or outsources them to ‘[approved repair technicians.](https://www.vice.com/en/article/evjx9j/apple-will-finally-sell-iphone-parts-to-repair-shops-but-not-to-you)’

Apple announced a [new repair program](https://www.apple.com/newsroom/2019/08/apple-offers-customers-even-more-options-for-safe-reliable-repairs/) in 2019, but it was a slap in the face for customers. Rather than selling parts to individual consumers, they agreed to sell the items to verified third parties who conduct the repairs on behalf of individuals. While some see this as a step in the right direction, it’s still not enough to provide customers with fair and affordable right to repair policies, which leads many to seek a new device as opposed to repairing a current model. 

[Statistics](https://globuswarwick.com/2021/01/21/the-e-waste-problem-a-case-study-of-apple/) show that Apple is one of the biggest contributors to the e-waste issue, which has a hugely detrimental impact on our planet. A [UN report](https://www.unep.org/news-and-stories/press-release/un-report-time-seize-opportunity-tackle-challenge-e-waste) found that electronic waste is the fastest-growing form of domestic waste, with around 50 million metric tonnes being produced each year. 

E-waste is particularly problematic as it contains various toxic substances that pose major contamination risks that can wreak havoc on the natural environment and affect various aspects of life in the natural world. Therefore, it’s essential that big tech firms like Apple take responsibility for the e-waste crisis and allow us - their customers - to repair our devices without spending a fortune.

Introducing our Apple Campaign & Why It’s Important

On Thursday the 28th of April, we made our presentation to Johnson & Johnson shareholders at the company’s annual general meeting (AGM). 

Unfortunately we also learned that our resolution didn’t pass. You can review the results of the AGM on the company’s 8K statement here.

## BUT IT’S NOT ALL BAD NEWS
We learned that our resolution received a vote of over 15%, which is very good for a first proposal and, crucially, means we can file again next year. We also learned that Glass Lewis, a major American proxy advisory services company, voted in favour of our proposal - though we still await further information about whether other large stakeholders such as Vanguard voted for or against it. 

Additionally, we learned that our proposal had the biggest number of abstentions, which means those shareholders had to expressly say they were abstaining to vote for or against the proposal. Typically this means that they couldn’t make up their mind at the time of voting. These votes are traditionally easier to win over in future years, as persistence tends to garner increasing support.

## WE’RE NOT GIVING UP 
We continue to work with activist groups on this issue, and continue to receive support from Mercy Investments (whose Racial Justice proposal was the only one that passed at this year’s AGM after their second time filing). The fight is far from over, and we’ll keep you updated every step of the way.

It’s no secret to anybody that fixing Apple products can be a pain. Up until recently, only [approved technicians](https://www.vice.com/en/article/evjx9j/apple-will-finally-sell-iphone-parts-to-repair-shops-but-not-to-you) were able to work on Apple products, using parts approved by the corporation. Not only is this detrimental to customers’ wallets, but this practice is also having a big impact on the environment. In fact, each year the world throws away [53 million tonnes](https://repair.eu/) of electronic waste, accelerating the harm we’re already doing to the planet.

It doesn’t have to be that way though - our Apple campaign initially sought to use shareholder leverage to force Apple to bring in a dedicated Right to Repair policy. Apple has since alerted us around their Self Service Repair for customers using their products. While we’re pleased at this development, [we have identified gaps](https://tulipshare.com/blog/apple-self-service-program-still-misses-the-mark) in the new program and will continue to stay in communications with Apple’s investor relations team until a resolution has been achieved.

Based on [various reports](https://www.theguardian.com/technology/2020/feb/05/amazon-workers-protest-unsafe-grueling-conditions-warehouse) surrounding Amazon working conditions, being an employee at the corporation isn’t easy. We believe everybody has a right to a dignified and safe working environment, which is the main reason we brought forward our campaign at Amazon. Using shareholder leverage, we are seeking to recommend that Amazon conduct a regular independent audit of warehouse workers working conditions. This will hopefully force them to address the problems faced by their employees on a daily basis.

[**JPMorgan**](https://tulipshare.com/stocks/JPM)

As one of the biggest banks in the world, you’ve probably heard about JPMorgan before. What you may not know is that JPMorgan [heavily invests in ](https://www.forbes.com/sites/davidrvetter/2020/03/18/jpmorgan-chase-tops-dirty-list-of-35-fossil-fuel-funding-banks/?sh=2f4898565dfe)climate-destructive industries and, since the Paris Agreement in 2016, has invested [$316.735 billion](https://reclaimfinance.org/site/wp-content/uploads/2021/03/BOCC__2021_vF.pdf) in fossil fuels. While the international bank has committed to providing money into [the climate finance fund](https://am.jpmorgan.com/gb/en/asset-management/institutional/investment-strategies/sustainable-investing/capabilities/climate-change-solutions-fund/), we don’t think that cuts it. Our campaign is looking to strengthen JPMorgan’s commitment to ending all investments in fossil fuels, therefore helping to reduce emissions around the world considerably. With [thousands of people](https://tulipshare.com/stocks/JPM) interested in our campaign, the journey on the road to big change is only just getting started.

[**Johnson & Johnson**](https://tulipshare.com/stocks/JNJ)

Johnson & Johnson’s talc-based Baby Powder (talcum powder) was shown to contain traces of asbestos - a carcinogen known to cause cancer with no safe exposure level. What’s worse is that Johnson & Johnson reportedly [knew about the asbestos contamination](https://www.reuters.com/investigates/special-report/johnsonandjohnson-cancer/), yet continued to [heavily market the product to minority, overweight women](https://www.reuters.com/article/us-johnson-johnson-marketing-specialrepo/special-report-as-baby-powder-concerns-mounted-jj-focused-marketing-on-minority-overweight-women-idUSKCN1RL1JZ).

Soon after Johnson & Johnson’s talc-based powder was discovered to be [contaminated with asbestos](https://www.fda.gov/cosmetics/cosmetics-recalls-alerts/fda-advises-consumers-stop-using-certain-cosmetic-products), the company recalled the product and discontinued the sale of its talc-based powder in North America citing[ ‘a lack of demand’ and a ‘constant barrage of litigation advertising’](https://www.jnj.com/our-company/johnson-johnson-consumer-health-announces-discontinuation-of-talc-based-johnsons-baby-powder-in-u-s-and-canada) in 2020. However, the company continues to sell its talc-based products globally, including in the UK.

Although the right to repair movement is gaining steam, a lot more progress is needed. Here’s our review on Apple’s current Independent Repair and Self Service Repair programs. 

## Apple’s Current Independent Repair Program

Apple customers have to get products repaired by [approved technicians, or businesses under the Independent Repair program](https://www.macworld.co.uk/how-to/apple-products-repair-3802247/). As an Apple customer, [you have the choice](https://support.apple.com/en-gb/repair) to send off your device to an Apple repair center, an approved technician, or make a reservation at the Genius bar.

This policy can be tough for independent repair businesses too, as they need to go through an approval process before they’re allowed to work on Apple products. Apple has in the past [argued](https://www.theverge.com/2020/7/30/21348240/apple-right-to-repair-legislation-antitrust-investigation-policy) that introducing a right to repair policy using “non-genuine” parts would make their products less secure. This often forces independent repair businesses to pay a premium for “official” parts when there are often more affordable options on the market. 

If you break the rules, your warranty could be void. For some iPhones, using a non-Apple screen could [mean](https://support.apple.com/en-us/HT210321) you see an error message highlighting the non "genuine" replacement part. 

The [cost to repair Apple devices](https://www.apple.com/uk/recycling/nationalservices/) often encourages customers to buy new devices instead of repairing their current device. As discussed above, this has a considerable environmental impact. 

## Apple’s Current Self Service Repair Program

Apple customers “[who are comfortable with completing their own repairs](https://www.apple.com/newsroom/2021/11/apple-announces-self-service-repair/)” may place an order for Apple genuine parts and tools using the Apple Self Service Repair Online Store after they have reviewed Apple’s Repair Manual. Once a repair is completed, customers may then send back certain used parts to Apple for recycling [where incentives vary](https://www.apple.com/uk/recycling/nationalservices/). However, the Self Service Repair Program is highly restrictive considering it is only available for the recently released iPhone 12 ([released in 2020](https://www.apple.com/newsroom/2020/10/apple-announces-iphone-12-and-iphone-12-mini-a-new-era-for-iphone-with-5g/)), iPhone 13 ([released in 2021](https://www.apple.com/newsroom/2021/09/apple-introduces-iphone-13-and-iphone-13-mini/)), and Mac computers featuring M1 chips ([released in 2021](https://www.apple.com/newsroom/2021/10/introducing-m1-pro-and-m1-max-the-most-powerful-chips-apple-has-ever-built/)), and Apple notes that the program is “intended for individual technicians with the knowledge and experience to repair electronic devices,” which excludes the vast majority of customers. The Self Service Repair program is further restricted in that if you use third-party batteries or other parts then your warranty with Apple will be [voided](https://www.cnet.com/tech/mobile/apples-new-self-service-repair-program-what-it-means-for-you-and-your-apple-devices/). Our campaign seeks to provide Apple customers with the option of repairing Apple products themselves without voiding their warranties and encourage Apple to design and build products that are easier to fix in the first place.

With your investment, we will advocate on your behalf to lobby for Apple to implement fair Independent Repair and Self Service Repair programs so that you have more control over getting your Apple devices repaired. We hope that our work will make it easier for repair technicians to work on Apple products without having to meet Apple’s approval process.

We’re also calling on Apple to make repair information for its devices available, alongside “genuine” parts outside of their independent repair program. We’d like Apple software to work regardless of whether products have been fixed with genuine parts.

Apple’s current [Independent Repair Program](https://support.apple.com/irp-program) only allows [approved repair technicians](https://www.vice.com/en/article/evjx9j/apple-will-finally-sell-iphone-parts-to-repair-shops-but-not-to-you) to work on Apple tech, and they have to use “official” parts. Additionally, Apple’s newly announced Self Service Repair Program is not useful for consumers with older Apple products, since the program will only be available for iPhone 12, iPhone 13, and Mac computers featuring M1 chips.

Although the right to repair movement is gaining steam, a lot more progress is needed.  The EU and UK have nodded to implementing a [Right to Repair law](https://www.bbc.co.uk/news/business-56340077) before the end of the year (2021) where manufacturers will be obliged to make spare parts for appliances available to consumers. Disappointingly, legislators chose to [scope out smartphones and laptops when drafting the law](https://repair.eu/news/new-ecodesign-regulations-5-reasons-europe-still-doesnt-have-the-right-to-repair/) and the update promised for the end of 2021 has not been made public.   

In July 2021, the US Federal Trade Commission issued [new rules](https://www.ftc.gov/news-events/press-releases/2021/07/ftc-ramp-law-enforcement-against-illegal-repair-restrictions) to prevent companies from limiting customers’ ability to repair products themselves or with third-party shops. Likewise, the French Government introduced a new [anti-waste law](https://www.hoganlovells.com/-/media/hogan-lovells/pdf/2020-pdfs/2020_06_01_iplr77_promoting-the-circular-economy-france-adopts-anti-waste-law.pdf) in an effort to create a circular economy. The French law was created in response to findings that Apple had [failed to inform](https://www.loc.gov/item/global-legal-monitor/2020-02-28/france-watchdog-agency-fines-apple-for-deceitful-practice/) consumers that updating iPhone’s operating systems may cause some older models to slow down. This new French anti-waste law requires that spare parts will have to be available for [5 years](https://repair.eu/news/major-steps-taken-for-durability-and-right-to-repair-in-france/) for electronic products such as smartphones and laptops. With this in mind, Apple’s new Self Service Repair program falls short of the French 5 year requirement given that the program only applies to iPhone 12 ([released in 2020](https://www.apple.com/newsroom/2020/10/apple-announces-iphone-12-and-iphone-12-mini-a-new-era-for-iphone-with-5g/)), iPhone 13 ([released in 2021](https://www.apple.com/newsroom/2021/09/apple-introduces-iphone-13-and-iphone-13-mini/)), and Mac computers featuring M1 chips ([released in 2021](https://www.apple.com/newsroom/2021/10/introducing-m1-pro-and-m1-max-the-most-powerful-chips-apple-has-ever-built/)). The inability to repair older iPhone and Mac models isn’t just bad for your bank balance: it can also be damaging for the environment, as every year the world throws away around [53 million tonnes](https://repair.eu/) of electronic waste.

Our Apple Campaign has Changed

Amazon faces a new lawsuit from the attorney general of Washington, D.C. alleging that the company has misused tips meant to go to Amazon drivers.

Attorney General Karl Racine also claims the company tried to cover up the misleading tipping practice, which has been in place since 2016. It’s not the first time the company has come under scrutiny for this, with the Federal Trade Commission reaching a $61million [settlement](https://www.ftc.gov/business-guidance/blog/2021/02/amazon-pay-61-million-tapping-tips-promised-drivers) after they claimed the company was dipping into the tips meant for drivers. Racine’s office [issued a statement](https://oag.dc.gov/release/ag-racine-sues-amazon-stealing-tips-delivery) saying the new complaint has been filed because the FTC settlement did not impose any fines on the company, but only required the drivers to be repaid what they were already owed in tips.

This comes after Amazon [launched a promotion](https://eu.usatoday.com/story/money/2022/12/10/amazons-alexa-thank-driver-tip-promotion-ends/10872666002/) allowing customers to send a ‘thank you’ to their Flex drivers this Holiday season, which could be matched by a $5 donation from Amazon at no cost to the customer. Some claim, however, that the promotion was intended to divert attention away from the lawsuit launched by the attorney general.

However, the promotion only offers tips to the first 1 million drivers who received a ‘thank you’ from customers.. It was reported that the 1 million milestone was reached within a day and that “Drivers will continue to be notified of the gratitude received,” and that, “the promotion period where drivers receive $5 with their thank you has now ended."

Last year, [reports emerged](https://www.vice.com/en/article/5dg3wb/amazon-delivery-drivers-say-they-sacrifice-their-safety-to-meet-holiday-rush) of Amazon drivers stating that the holiday season made their lives “hell” and that they had to sacrifice their safety in order to meet demands.
